MINUTES OF EXTRAORDINARY GENERAL MEETING OF APTMA HELD ON MONDAY, 04-APRIL-2011 AT 1:00 PM
AT APTMA OFFICES IN KARACHI, LAHORE, PESHAWAR, FAISALABAD & MULTAN (OVER VIDEO CONFERENCING)

The meeting commenced with recitation of verses from Holy Quran. Chairman welcomed all the participants and specially thanked all those members from Peshawar, Karachi and Lahore who have been frequently traveling to Islamabad and accompanying / assisting him during the official dialogues with the concerned authorities in the larger interest of the association. He then took up the agenda item for deliberations.

ITEM NO. 1: TO CONSIDER / ADOPT RESOLUTION OF THE EXECUTIVE COMMITTEE REGARDING IMPOSITION OF ADDITIONAL ANNUAL SPECIAL LEVY FOR PRINCIPAL OFFICE EXPENSES OF EXTRAORDINARY NATURE AT THE RATE OF RS.1.00 PER INSTALLED SPINDLE, RS.10.00 PER INSTALLED ROTOR, RS.32.00 PER INSTALLED CONVENTIONAL LOOM, RS.128.00 PER INSTALLED SHUTTLELESS / AIRJET LOOM AND RE.0.10 PER SQUARE METER FOR PROCESSING UNITS.

Chairman informed the meeting that for the last many years APTMA reserve funds are continuously depleting because of growing disparity between income and expenditure and APTMA is incurring losses at an average annual rate of around Rs.11 million since last five years. He said that in order to control this adverse situation, the Admin & Finance Committee of APTMA represented by all Regions including Mr. Shahzad Ali Khan, Mr. Ahsan Bashir, Mr. Mohsin Aziz, Mr. Osman Saifullah Khan, Mr. M. Yasin Siddik, Mr. Imran Maqbool, etc. had held number of meetings and made unanimous recommendations for enhancement of membership fee at the rate of Rs.1/- per spindle etc., recommendations were then presented in the Executive Committee meetings which discussed it exhaustively and approved enhancement in membership fee unanimously to meet the expenditure of the association. Chairman further said that proposal along with the financial position of APTMA were duly circulated to all members and has also been tabled in the General Body meeting for adoption of the resolution of the Executive Committee. He invited members’ comments.

Mr. Shahzad Ali Khan expressed that the matter has been discussed several time at various stages and then levy @ Rs.1/- per spindle was recommended to equalize the income and expenditure of the association. Cutting down the expenditures plus rightsizing of staff were also seriously discussed and done to the possible extent. However, further curtailment was not found feasible because it would have affected the smooth working of APTMA. He strongly recommended that the resolution for enhancement of membership fee @ Rs.1/- per spindle may be adopted / approved by the house.

Mr. Ahsan Bashir urged on the institutionalization of organization and gave solid arguments in this regard. He also advocated further increase in the membership fee to achieve the goal of converting APTMA into an institution.

Responding to the views, Mr. M. Yasin Siddik said that at this juncture further increase in the membership fee over & above the proposed rate of Rs.1/- per spindle would be detrimental to the resolution which has already been passed by the Executive Committee and is on the agenda of meeting. He requested members to discuss and vote in favor of the resolution, as tabled, for unanimous adoption by the General Body. He however, suggested that in case of further increase in the membership fee, the matter can be discussed and considered by the concerned Committee at later stage.

Mr. Shahzad Ali Khan viewed that the General Body can change the resolution of the Executive Committee if the house is unanimous on it.

Chairman elucidated that first of all he would like to carry out / take vote for adoption of the resolution of the Executive Committee as tabled and then further enhancement in fee can be discussed separately, if the house wishes so.

Mr. Zahur Ahmed suggested that there should be no cap / maximum limit of the membership fee and every member should pay according to the installed capacity of their mills.

Chairman appreciated the suggestion of Mr. Zahur Ahmed and said that since the proposed capping is being increased from Rs.200,000/- to Rs.300,000/- which has gone through a set procedure and tabled for adoption by the General Body. The suggestion regarding withdrawal of capping can be discussed by the concerned Committee and put up to the Executive Committee and then General Body, if considered realistic, he added.

Mr. M. Akber Sheikh pointed out that prior to year 2009-10, APTMA membership fee was Rs.3.50 per spindle and now it is Rs.2.00 per spindle, therefore there is a cushion to increase fee upto Rs.3.50 per spindle. He supported the proposed increase @ Rs.1.00 per spindle.

On a question of the Chairman, Mr. Muhammad Azam, COO-APTMA replied that the proposal for increase @ Rs.1.00 per spindle has been brought up to the General Body after going through a set procedure and on a unanimous resolution of the Executive Committee, hence any change in the resolution / further increase in the membership fee would not be legally practicable.

Chairman elaborated that when he took over as Chairman APTMA it was his responsibility to control expenditure of the association because association was incurring losses since last five years and with the help of Admin & Finance Committee he took some serious steps wherein some of the employees were also retrenched. Every member expects even more from the chairman and as a matter of fact he is trying hard to make APTMA an institution and for that benefit, he has been traveling frequently on his personal resources without incurring expenditure of the association. He appreciated his team members and other members hailing from all regions, who have been supporting and frequently accompanying him in various meetings in Islamabad for the interest of the organization.

He apprised that frequency of his traveling between Lahore to Islamabad has increased so much that he travels at least five to six times a week to take care of the challenges confronted the industry and one of the top most challenges is to raise the perception of APTMA, which is a major goal for him. He was proud to say that by the grace of Almighty Allah today there is no negative perception at any forum against APTMA.

Chairman said that we had been facing the cumbersome situation when so called CAPTA (Council for All Pakistan Textile Associations) was formed to depress APTMA and with the connivance of some high ups, they brought down a law under which it became difficult for us to function independently. They tried to drag us in difficult situation by imposing Regulatory Duty on export of cotton yarn @ 15 percent. Fortunately, it was the outcome of our efforts which elevated perception of APTMA and we defended the negative move of CAPTA at all forums.

Chairman further said that APTMA is a premier body comprising of largest national industry in terms of turnover and of an international standard representing all sub-sectors from spinners to garment manufacturers. We have always looked after the interests of all sectors and never went against any one, he added. He again congratulated and paid due respect to his team members; particularly Mr. M. Yasin Siddik, Mr. Tariq Saud, Mr. Shahzad Ali Khan, Mr. Ahsan Bashir, Sheikh Muhammad Akbar, Syed Ali Ahsan, Mr. Mohsin Aziz who always stood by him to protect the interests of the association.

Focusing on the issue of Sales Tax, Chairman informed that APTMA team drafted whole structure and presented to the Chairman FBR who by the grace of Allah Almighty not only trusted but also appreciated the move. He further said that the cotton research & development is the next important issue before the APTMA management for which we undertook number of visits to Islamabad, because we feel that the cotton researchers are not doing their job properly. The average cotton production in Punjab is 19 maunds per acre whereas it is 100 maunds per acre in China. The cess which APTMA members are paying to PCCC is being wasted as their research institutes do nothing for the development of cotton production.

Chairman apprised the house that during his recent visit to Uzbekistan he came to know that the average yield of cotton production in Uzbekistan is 60 maunds per acre, which they have achieved without the involvement of Monsanto, etc. They are producing 7.5 million bales of cotton out of 3 million acres of cotton growing area, whereas our Punjab province produces only 8 - 8.5 million bales from 6 million acres of cotton growing land. Uzbekistan’s cotton yield is almost double than what we produce, there is a big challenge ahead of us and the APTMA team is working on it and will achieve results Insha-Allah soon, he believed.

Chairman underlined the need of making APTMA an institution and thanked the General Body for extending respect and encouragement for supporting the resolution for increase in the membership fee unanimously. Chairman stressed upon the needs of Advisors for lobbying and protection of the rights of APTMA membership and said that no work was done for cotton research in the past. Similarly there was no consultant to address the issue of energy persisting since last three years.

He thanked the President of Pakistan for constituting the LNG Committee on his advise which is working on the establishment of LNG terminal project to provide alternate energy source to the industry. He urged for constant interaction with the govt. to resolve the issues of membership. He was optimistic of being capable to increase the production manifold and of course having capacity to produce 40 million bales of cotton on the same land. He was confident of brining LNG in the gas system shortly.

Chairman further informed that Japan produces energy of 250,000 MW based on nuclear, LNG and coal; without gas and furnace oil, while Pakistan produces only 16,000 MW. He suggested that industry / private sector should come forward and work in all these areas and support the Committee formed by the govt. without putting any responsibility and burden on the govt.

Mr. Anwar Ahmed Tata appreciated the efforts and vision of the Chairman towards the development of industry. He congratulated all members and the Chairman for having a unanimous decision on the increase in membership fee.

Mr. Osman Saifullah Khan also congratulated the Chairman and his team for their performance. He hoped that going forward we will have a capable Chairman and a team to continue with the same enthusiasm. He suggested Chairman to constitute a committee to draw APTMA vision which should also review the fee structure according to needs of APTMA as an institution. He also gave example of Pakistan Business Council which is an advocacy group charging membership fee of around Rs.2 million per year. He requested the Chairman to hold one of his future meetings at KPK Region, Peshawar to personally observe the status of APTMA KPK office which needs resources to uplift its infrastructure like other APTMA offices. He fully supported the increase in membership fee @ Rs.1/- per spindle.

Mr. Mohsin Aziz added that the point regarding increase in fee over and above the recommended rate of Rs.1/- per spindle can be discussed by the General Body as there is no bar. He appreciated the Chairman for handling Islamabad issues in effective way. He suggested that we should evaluate whether APTMA is currently under or over staffed. In case the latter problem persists, funds can be saved further and diverted to elevate Islamabad office up to its requirement. He praised the Chairman for his positive steps taken for image building of APTMA during the last six months.

Mr. Tariq Saud complimented the Chairman for his dynamic leadership and assured on behalf of SB Region his full support.

A worthy member from Multan also appreciated the efforts of the Chairman and his team for the enthusiasm and positive approach to convert APTMA into an institution.

Chairman thanked all the participants for their unanimous support and passed the following resolution:

RESOLVED that;
House unanimously approved / adopted imposition of additional Annual Levy exclusively for utilization of Principal Office expenses at the rate of Rs.1.00 per installed Spindle, Rs.10.00 per installed Rotor, Rs.32.00 per installed Conventional Loom, Rs.128.00 per installed Shuttleless / Airjet Loom and Rs.0.10 per square meter for Processing Units.

The maximum limit / capping of Annual Membership Fee shall be Rs.300,000/-.

That the Admission Fee payable for the new membership shall be Rs.50,000/-

House further RESOLVED that the enhanced maximum limit / capping of Annual Membership Fee and enhanced Admission Fee as well as additional Annual Levy exclusively for utilization of Principal Office expenses shall be effective from the Year 2011-12 onwards and that the amount of additional Annual Levy exclusively for utilization of Principal Office for the Year 2011-12 shall be treated mandatory as APTMA dues and recoverable as arrears upto 30th June 2011. In case of default in payment, the name of concerned member mills will not be included in the Final List of Voters to be issued for the purpose of Annual Election of APTMA 2011-12.

The revised Membership Fee of APTMA will be as follows:
